12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan, without regard to its conflicts of law principles.

12.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration administered by the Dubai International Financial Centre - London Court of International Arbitration (DIFC-LCIA) Arbitration Centre in accordance with its Arbitration Rules in force at the time of filing.

12.3 Arbitration Procedures

The arbitration shall be conducted by a sole arbitrator appointed in accordance with the DIFC-LCIA Rules. The seat of arbitration shall be Dubai International Financial Centre (DIFC), Dubai, UAE. The language of the arbitration shall be English. The arbitral award shall be final and binding on the parties, and judgment upon the award may be entered in any court having jurisdiction.

12.4 Interim Relief

Notwithstanding the foregoing, either party may seek interim or conservatory measures from any court of competent jurisdiction, including the DIFC Courts, pending the final decision or award of the arbitrator.

13. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Website will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BRDG Studio regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

14.2 Waiver

No waiver by BRDG Studio of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BRDG Studio to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. BRDG Studio may assign or transfer these Terms, in whole or in part, without restriction.

14.5 Language

These Terms are executed in the English language. In the event of any translation, the English version shall prevail.
